Terms of Service

These Terms of Service ("Terms") govern your access to and use of the products and services provided by Kinro AI ("Kinro", "we", "us", or "our") at https://kinro.ai. By accessing or using our services, you agree to be bound by these Terms.

1. Services

Kinro provides AI-powered sales agent solutions for financial services companies ("Services"). Access to the Services is granted through a commercial agreement or order form executed between Kinro and the customer ("Order"). The specific scope, pricing, and duration of the Services are defined in the applicable Order.

2. License

Subject to these Terms and payment of applicable fees, Kinro grants you a limited, non-exclusive, non-transferable license to access and use the Services solely for your internal business purposes and in accordance with any documentation we provide. You may not:

  • Reverse engineer, decompile, or attempt to derive source code from the Services;
  • Resell, sublicense, or otherwise make the Services available to third parties;
  • Use the Services to build a competing product or service;
  • Use automated scraping or data extraction tools against the Services;
  • Remove or obscure any proprietary notices on the Services.

3. Intellectual Property

Kinro retains all right, title, and interest in and to the Services, including all underlying technology, models, software, and documentation. Nothing in these Terms transfers any ownership rights to you. Any feedback or suggestions you provide may be used by Kinro without restriction or compensation.

4. Confidentiality

Each party agrees to keep the other's confidential information strictly confidential and not to disclose it to third parties without prior written consent. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law. Confidentiality obligations survive termination of these Terms for three (3) years.

5. Data & Privacy

Our collection and use of personal data is governed by our Privacy Policy. By using the Services, you consent to such processing. You represent that you have obtained all necessary consents for any data you submit to the Services. Kinro will process personal data in accordance with applicable law, including GDPR where applicable.

6. Warranties & Disclaimers

Kinro warrants that it will use commercially reasonable efforts to make the Services available in accordance with its service level commitments set out in the applicable Order. The Services are provided "as is" and, to the maximum extent permitted by law, Kinro disclaims all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. The Services constitute technology solutions and do not constitute legal, financial, or regulatory advice. Kinro makes no warranty that the Services will ensure your compliance with applicable laws and regulations.

7. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits or revenue, even if advised of the possibility of such damages. Kinro's total aggregate liability arising out of or related to these Terms will not exceed the amounts paid by you to Kinro in the twelve (12) months preceding the claim.

8. Term & Termination

These Terms commence on the date you first access the Services and continue until terminated. Either party may terminate for cause upon thirty (30) days' written notice if the other party materially breaches these Terms and fails to cure such breach within the notice period. Upon termination, your right to access and use the Services ceases immediately. Sections 3, 4, 6, 7, and 9 survive termination.

9. Governing Law & Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco, California.

10. Changes to These Terms

Kinro may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new effective date. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
